Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and VoiceAgent (“Company”, “we”, “us”, or “our”) governing your access to and use of the VoiceAgent platform, software, APIs, and related services (collectively, the “Service”) available at usvoiceagent.com.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Service. You must be at least 18 years of age to use VoiceAgent.

2. Service Description

VoiceAgent provides an AI-powered voice agent platform that enables businesses to automate inbound and outbound phone calls using artificial intelligence, natural language processing, and voice synthesis technologies. The Service includes:

  • AI-driven call handling, routing, and response automation.
  • Voice synthesis (TTS) and speech recognition (STT) capabilities via Azure Neural TTS.
  • A web dashboard for configuring agents, viewing call logs, and managing account settings.
  • APIs and webhooks for integration with third-party systems.

VoiceAgent reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable prior notice where practicable.

3. Account Registration and Security

To access the Service, you must register for an account by providing accurate and complete information. You agree to keep your account information current and to notify us promptly of any unauthorized use of your account.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. VoiceAgent will not be liable for any loss or damage arising from your failure to safeguard your credentials.

One account may be used by one individual (natural person) or by one business entity. Sharing login credentials across multiple people or organizations is prohibited. Enterprise customers requiring team access should contact us for multi-seat pricing.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

  • Spam and Unsolicited Calls. Making automated calls to individuals who have not consented to receive them, in violation of the Telephone Consumer Protection Act (TCPA), GDPR, or any other applicable law.
  • Illegal Activity. Using the Service for any unlawful purpose, including fraud, extortion, harassment, stalking, or any activity that violates applicable laws or regulations.
  • Impersonation. Impersonating government agencies, financial institutions, law enforcement, or any other individual or entity in a misleading or deceptive manner.
  • Service Abuse. Attempting to reverse engineer, decompile, or interfere with the Service; using automated tools to scrape or excessively load the platform; or circumventing any rate limits or access controls.
  • Harmful Content. Distributing malware, viruses, or other harmful code; collecting personal data about users without proper consent; or engaging in any activity that harms minors.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and may be reported to the appropriate authorities.

5. Subscription and Billing

Plans and Pricing

VoiceAgent offers monthly and annual subscription plans. Annual plans are discounted compared to monthly billing. Current pricing is displayed on our pricing page. We reserve the right to change prices with 30 days’ written notice.

Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. You authorize VoiceAgent to charge your payment method on file for the renewal amount. To cancel auto-renewal, you may do so at any time from your account settings or by contacting legal@usvoiceagent.com.

Refund Policy

We offer a 7-day money-back guarantee for new subscribers. If you are not satisfied with VoiceAgent within the first 7 days of your initial subscription, you may request a full refund by contacting legal@usvoiceagent.com. After 7 days, subscription fees are non-refundable except where required by applicable law. Usage-based charges (e.g., per-minute call fees above your plan limit) are non-refundable in all cases.

Taxes

You are responsible for all applicable taxes associated with your subscription. Where required, VoiceAgent will collect and remit applicable sales taxes or VAT.

6. Intellectual Property

The Service and all associated content, features, functionality, software, trademarks, and trade dress are and will remain the exclusive property of VoiceAgent and its licensors. Nothing in these Terms grants you any right, title, or interest in or to the Service beyond the limited license granted herein.

Subject to your compliance with these Terms and payment of applicable fees, VoiceAgent grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You retain ownership of all data you upload or create through the Service (“Customer Data”). You grant VoiceAgent a non-exclusive, worldwide license to process and store your Customer Data solely to the extent necessary to provide the Service to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VOICEAGENT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF, OR INABILITY TO USE, THE SERVICE.

THE AGGREGATE LIABILITY OF VOICEAGENT TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO VOICEAGENT IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VOICEAGENT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

8. Indemnification

You agree to defend, indemnify, and hold harmless VoiceAgent, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and attorneys’ fees arising out of or relating to (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including privacy, intellectual property, or other rights; or (d) any content or data you submit, post, or transmit through the Service.

9. Termination

You may cancel your account at any time from your dashboard settings. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until then.

VoiceAgent may suspend or terminate your access immediately and without notice if we determine that you have violated these Terms, engaged in fraudulent or illegal activity, or if continued service would expose VoiceAgent or its users to legal or reputational risk.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitations of liability, indemnification, governing law, and dispute resolution) will survive.

10. Governing Law

These Terms and any disputes arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, USA, for any disputes not subject to arbitration under Section 11.

11. Dispute Resolution

We encourage you to contact us first at legal@usvoiceagent.com to try to resolve any dispute informally before initiating formal proceedings.

If a dispute cannot be resolved informally, both parties agree that it will be resolved by binding arbitration conducted by a mutually agreed arbitration provider under its commercial arbitration rules, rather than in court. The arbitration shall take place in Delaware, USA, and be conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: You agree that disputes will be resolved solely on an individual basis, and you waive any right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email (to the address associated with your account) and update the “Last updated” date at the top of this page at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your account before the effective date.
